By agreeing to these Terms of Service, you confirm that you have reached the legal age required to enter into a binding contract under the laws applicable in your country of residence, and that you have given your consent for any minor dependents under your care to use the Services on devices you own, purchase, or manage.
To use the Services, including accessing or browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide is accurate, current, and complete, and that you have the legal right to provide such information.

We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they appear on your screen due to the type of device you use to access the store and your device settings and configuration.

When you place an order, you are making an offer to purchase. Filipino Goods reserves the right to accept or decline your order at its sole discretion. Your order is accepted only after it has been reviewed and confirmed by Filipino Goods. For payment methods that require advance payment, order processing will begin after the payment has been successfully received. Please review your order carefully before submitting it, as Filipino Goods may be unable to accommodate cancellation requests once an order has been accepted. If we do not accept, modify, or cancel an order, we will make reasonable efforts to notify you using the e-mail address, billing address, and/or telephone number provided when the order was placed. 
Returns, exchanges, and refunds are governed solely by our Refund Policy.
Products purchased through our online store may be purchased by both individual consumers and business customers. Unless otherwise agreed in writing, products are intended for the purchaser's own use or business operations and may not be resold, redistributed, or exported in violation of applicable laws or in a manner that infringes the rights of Filipino Goods.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include shipping charges. Any applicable shipping charges will be calculated and displayed during checkout. The final purchase price will be displayed before the customer completes the order.
Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address, billing information, shipping information, and other contact details, so that we can complete your transactions and contact you as needed. Payment card information is processed securely by our payment service providers and is not stored by Filipino Goods.
If you choose to pay by payment card, you represent and warrant that the payment information you provide is accurate and that you are authorized to use the selected payment method. You agree to pay all charges incurred at the prices displayed at checkout, including applicable shipping charges and any other charges that are clearly disclosed during checkout, where required by applicable law.

SECTION 5 - SHIPPING AND DELIVERY
We are not liable for shipping and delivery delays caused by shipping carriers, customs authorities, or events beyond our reasonable control. All delivery times are estimates only and are not guaranteed. However, we will make reasonable efforts to dispatch orders within the estimated processing times communicated at the time of purchase. The risk of loss or damage to the products passes to you upon delivery, in accordance with applicable law.

Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control over.

We are not responsible for the availability, functionality, or content of such third-party tools.

Filipino Goods is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Filipino Goods. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Filipino Goods, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Filipino Goods.

(b) reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services without our prior written permission;

(d) engage in spam, phishing, pharming, pretexting, or similar fraudulent or deceptive activities;

(ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, including by:

• (a) mimicking human behavior or interaction patterns; or
• (b) completing or circumventing CAPTCHAs or other measures intended to distinguish automated activity from human activity;

(iii) respond truthfully to any question or prompt intended to determine whether interactions originate from a human or an automated system;

(iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

We reserve the right to suspend or terminate your access to the Services if we reasonably determine that you have violated these Terms, applicable law, or engaged in conduct that may harm Filipino Goods, Shopify, or other users of the Services. Where appropriate and practicable, we will provide notice of such suspension or termination. You will remain liable for all amounts due up to and including the effective date of termination.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that, by their nature, are intended to survive termination.

EXCEPT AS EXPRESSLY STATED BY FILIPINO GOODS OR AS REQUIRED BY APPLICABLE LAW, the Services and all products offered through the Services are provided on an "as is" and "as available" basis, without any representations, warranties, or conditions of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, durability, title, or non-infringement.

We do not guarantee that your use of the Services will be uninterrupted, timely, secure, or error-free. Nothing in these Terms excludes, limits, or modifies any statutory rights or consumer protections that cannot be excluded or limited under applicable law. Where applicable law does not permit the exclusion of certain warranties or limitations of liability, such exclusions or limitations shall apply only to the maximum extent permitted by law.

SECTION 17 - LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Filipino Goods, its directors, officers, employees, affiliates, agents, contractors, service providers, licensors, and Shopify and its affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of savings, loss of data, business interruption, or replacement costs, arising out of or relating to your use of the Services or any products purchased through the Services, whether based on contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

To the extent permitted by law, our total liability arising out of or relating to the Services or any purchase made through the Services shall not exceed the amount paid by you for the relevant product or service giving rise to the claim.

You agree to indemnify and hold harmless Filipino Goods, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers against any losses, damages, liabilities, claims, costs, and reasonable legal fees arising directly from:

(2) your violation of any applicable law or the rights of a third party; or

(3) your unlawful or unauthorized access to or use of the Services.

We will notify you of any claim for which we seek indemnification as soon as reasonably practicable. Our failure to provide prompt notice will not relieve you of your obligations unless it has materially prejudiced your ability to defend the claim.

We may manage the defense and settlement of such claim, including the selection of legal counsel, provided that we will not settle any claim imposing any admission of liability or non-monetary obligation on you without your prior written consent, which shall not be unreasonably withheld or delayed.

You agree to cooperate reasonably in the defense of any indemnified claim, including by providing relevant information and documents upon request.

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service.

Such determination shall not affect the validity or enforceability of the remaining provisions of these Terms of Service, which shall continue in full force and effect.

The failure of Filipino Goods to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service, together with any policies or operating rules posted by us on the Services, constitute the entire agreement and understanding between you and Filipino Goods regarding your use of the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, relating to the same subject matter (including, without limitation, any prior versions of these Terms of Service).

Any ambiguity in the interpretation of these Terms of Service shall not be construed against the party that drafted them.

SECTION 21 - ASSIGNMENT

You may not assign, transfer, delegate, or otherwise dispose of this Agreement or any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment, transfer, or delegation in violation of this provision shall be null and void.

We may assign, transfer, or delegate these Terms and our rights and obligations under them in connection with a merger, acquisition, sale of business, corporate reorganization, or other legitimate business transaction. Where required by applicable law, we will provide notice of such transfer.

These Terms of Service and any separate agreements under which we provide you with the Services shall be governed by and construed in accordance with the laws of the Slovak Republic.

Any disputes arising out of or in connection with these Terms of Service shall be subject to the jurisdiction of the competent courts of the Slovak Republic, without prejudice to any mandatory rights or protections granted to consumers under applicable law.
